Section 1. Wellness-Only Statement

PRISM is strictly a wellness support tool and does not provide medical, diagnostic,

therapeutic, or rehabilitative services. This Agreement governs your use of PRISM solely as a

wellness application. No provider–patient relationship is created by your use of PRISM.

1. Eligibility

PRISM is intended for adults aged 18 and over residing in the United States. The App is not

designed for post-operative patients, individuals with acute trauma, or those with complex

neurological disorders.

2. Use of the App

PRISM is a wellness platform that provides general movement and wellness guidance based

on user-reported data. Users are solely responsible for ensuring their own safety when using

the app. PRISM does not monitor, supervise, or verify any activity performed outside the app.

3. Health Disclaimers

PRISM does not provide medical advice and is not a substitute for a licensed medical

provider. All content is for general wellness and informational purposes only. The use of

PRISM does not create a provider-patient relationship. In a medical emergency, users must

seek immediate care from a qualified professional.

4. Subscriptions and Payment

Subscriptions are billed through Apple and Google platforms. All subscriptions auto-renew

unless canceled. No refunds are offered, even if a user does not use the app. By subscribing,

users agree to these terms.

5. Intellectual PropertyAll exercise videos, program logic, interface elements, branding, and educational content are

the exclusive intellectual property of PRISM Health and Wellness, LLC and are protected by

U.S. copyright and trademark laws. Unauthorized use-including downloading, recording,

copying, distributing, or repurposing content-is strictly prohibited.

6. Unauthorized Use of Content

Users may not screen record, scrape, clone, replicate, or extract any PRISM content for

external use. PRISM Health and Wellness, LLC vigorously protects its intellectual property.

We reserve the right to pursue civil prosecution, including monetary damages, attorney's fees,

and injunctive relief against any party found to have violated these protections.

7. User Conduct

Users must not misuse the app, including but not limited to: reverse engineering, interfering

with its operation, sharing login credentials, or using PRISM for any unlawful or commercial

purpose.

8. Termination

PRISM may suspend or terminate any user account at its sole discretion for violating these

terms, including intellectual property infringement.

9. Limitation of Liability

PRISM is provided "as is" without warranties of any kind. PRISM disclaims all liability for

injuries, losses, or damages resulting from use of the app or reliance on its content. Use of the

app is at the user's sole risk.

10. Indemnity

You agree to indemnify and hold harmless PRISM Health and Wellness, LLC and its affiliates

from any claims, damages, or costs arising out of your misuse of the app, violation of these

terms, or infringement of any intellectual property or other right.

11. Dispute Resolution

All disputes shall be resolved by binding arbitration in the state of California. Users waive the

right to participate in any class action.

12. Export Controls and Sanctions

Users agree not to access or use PRISM in violation of any U.S. export laws or economic

sanctions regulations.

13. Force Majeure

PRISM shall not be liable for failure or delay in performance due to events beyond its

reasonable control, including natural disasters, pandemics, governmental actions, or network

failures.

14. Accessibility

While PRISM continues to work toward compliance with accessibility standards, it may not be

fully accessible for all individuals with disabilities at this time.

15. Policy Updates

PRISM reserves the right to modify these terms at any time. Users will be notified of material

changes via the app or by email. Continued use of the app after changes constitutes

acceptance.

16. Entire Agreement

These Terms constitute the full agreement between the user and PRISM Health and

Wellness, LLC and supersede all prior communications.

18. Copyright Infringement and DMCA Notices

PRISM Health and Wellness, LLC respects the intellectual property rights of others and

expects users to do the same. If you believe that any content within the PRISM App has beencopied or used in a way that constitutes copyright infringement, please send a DMCA notice

URL or exact location of the infringing material - A description of the original copyrighted work

- Your name, address, telephone number, and email - A statement that you have a good faith

belief that the disputed use is not authorized - A statement that the information in your notice

is accurate, and under penalty of perjury, that you are authorized to act on behalf of the

copyright owner Failure to comply with these requirements may render your DMCA notice

invalid.

Section 15. AI Disclaimer

PRISM AI is an automated feature providing general wellness information only. It does not

provide individualized medical advice, diagnosis, or treatment. Responses are generated

automatically and may be inaccurate, incomplete, offensive, vulgar, or otherwise

inappropriate. PRISM Health and Wellness, LLC expressly disclaims liability for any harm,

offense, or reliance on PRISM AI responses. PRISM AI is provided strictly 'AS IS' and 'AS

AVAILABLE.' By using PRISM AI, you acknowledge and accept these risks and agree to

indemnify and hold harmless PRISM Health and Wellness, LLC from any claims arising out of

its use. AI inputs and outputs may be logged for compliance, quality, and safety.
